Transaction support

For investors buying an asset, signing a contract with a Mexican party or exiting a project. The result is a deal whose risks were checked before signing and whose terms are secured in the contract.

When you need it

  1. I'm buying an asset or a business in Mexico

We check the asset and the seller before you pay a deposit and propose terms under which identified risks are covered by the seller's guarantees and representations.

  2. I'm signing a contract with a Mexican counterparty

We vet the counterparty, agree the terms and prepare a Spanish contract with a line-by-line translation.

  3. I'm exiting a project

We calculate the tax consequences of selling a stake or an asset, prepare the deal and see it through to settlement.

What we do

Counterparty and asset due diligence

We review corporate documents, signing authority, tax history and litigation. For an asset: title, encumbrances and permits.

Document and registry checks

We verify records in the Registro Público de la Propiedad, the Registro Público de Comercio and the SAT. We check the land's status separately: private property, ejido or the restricted zone for foreigners.

Deal structure and tax

We decide whether to buy shares or the asset and how to pay. We calculate ISR, IVA and the property acquisition tax (ISAI) for each option.

Negotiating terms

We prepare the position on price, payment schedule, guarantees and the seller's representations. We negotiate in Spanish on your behalf.

Contract and closing

We draft the contract and agree it with the other side. The deal closes before a notary and the transfer is registered.

Performance monitoring

We track payments, the handover of the asset and post-closing conditions. We act if the other party breaches the contract.

What you receive

  • A due diligence report with identified risks and recommendations.
  • A deal structure with tax calculations.
  • A Spanish contract with a translation into your language.
  • Closing before a notary and registration of the transfer.
