Corporate structure and tax

For investors and entrepreneurs who need an operating company in Mexico. The result is a company ready to operate: incorporation documents, RFC, e.firma and a one-year calendar of obligations; we support the bank account opening until the bank decides.

When you need it

  1. I need to set up a company in Mexico

We take incorporation from the choice of entity to the first invoice issued: notary, registrations, bank account and bookkeeping.

  2. I'm choosing an entity type and a tax regime

We compare SA de CV, S de RL de CV and SAPI de CV, the tax regimes and the consequences for paying dividends abroad.

  3. I need bookkeeping and reporting in place

We bring in local accountants and set up electronic invoicing (CFDI) and monthly SAT filings.

What we do

Choice of entity

We compare SA de CV, S de RL de CV and SAPI de CV on liability, governance, admitting partners and tax. We take into account how your home tax authorities classify each form.

Incorporation before a notary

We clear the company name with the Secretaría de Economía and draft the bylaws and powers of attorney. The deed is signed before a notario público and filed with the Registro Público de Comercio.

RFC and e.firma with the SAT

We register the company with the SAT and obtain its RFC. We set up the e.firma electronic signature for filings and invoicing.

RNIE registration

We register the foreign investment with the Registro Nacional de Inversiones Extranjeras. We file the mandatory notices on time: late filing carries penalties.

Bank account

We prepare the bank's document package, including beneficial ownership details. We support the review until the account is open.

Accounting and reporting

We hand bookkeeping to vetted local accountants (contadores). We set up CFDI invoicing, monthly returns and annual reporting.

What you receive

  • An operating company with its deed of incorporation filed with the Registro Público de Comercio.
  • Tax registration: RFC, e.firma and RNIE entry.
  • Bank account opening: the document package and support through the bank's review until its decision.
  • A one-year calendar of tax and corporate obligations.

Timing

  1. 1 week

    Entity and documents

We choose the entity and tax regime and prepare the bylaws, powers of attorney and apostilled founder documents.

  2. 2-3 weeks

    Incorporation and registrations

The deed is signed before the notary, the company is registered, the RFC and e.firma are issued and the RNIE filing is made.

  3. 2-4 weeks

    Bank and bookkeeping

We open the account - timing depends on the bank's review - and start the bookkeeping.

Indicative timeline: 5-8 weeks; most of it is notary and bank time.
